Agreement to these terms

These terms are a contract between you and AXLE. By creating an account, signing in, or using the platform, you agree to them. If you are agreeing on behalf of a dealership, you confirm that you are authorised to bind that business, and "you" means that business.

If you do not agree to these terms, do not use the platform.

What AXLE provides

AXLE is a subscription software platform for independent used-car dealerships. It provides market and competitor pricing data, comparable-inventory analysis, inventory management, listing syndication to third-party marketplaces, vehicle history reports, and customer follow-up tools.

AXLE is not a dealer management system and does not replace one. It works alongside the DMS you already use to book deals.

Your account

You are responsible for your account credentials and for everything done under your account. Keep your password confidential and tell us immediately at yong@cloudberryai.io if you believe it has been compromised.

You must give accurate information when you register and keep it current. We may suspend or close accounts that we reasonably believe contain false information or are being used by someone other than the account holder.

Subscription and billing

AXLE is $999 per month for the whole store. That price includes unlimited users, every module, and onboarding. There are no setup fees, no per-seat charges, and no paid tiers required to unlock features described on our website at the time you subscribe.

Subscriptions are month to month. There is no annual contract, no minimum term, and no cancellation fee. Fees are billed in advance on the same day each month and are non-refundable except where required by law or expressly stated here.

We may change our prices. If we do, we will give you at least 30 days' notice before the change applies to your subscription, and you may cancel before it takes effect rather than accept it.

If a payment fails, we may suspend access until it clears. We will tell you before we do.

Trials and bonus reports

We may offer a free trial or a bonus allowance of vehicle history reports. Bonus reports are a promotional allowance, not a continuing entitlement. When they are used up, the rest of the platform continues to work exactly as before, and you may either continue with your own reporting account or use the vehicle history data built into AXLE.

We may change or withdraw a promotional offer at any time, but we will honour any allowance already granted to you.

Cancellation

You may cancel at any time, effective at the end of the billing cycle you have already paid for. You keep access until that date. We do not pro-rate partial months.

We may suspend or terminate your account if you materially breach these terms, if your use puts the platform or other users at risk, or if we are required to by law. Except where a breach requires immediate action, we will give you notice and a reasonable opportunity to fix the problem first.

You can export your data at any time while your account is active, and for 30 days after cancellation.

Your data and your customers’ data

Your dealership data — your inventory, your pricing, your customer records — belongs to you. We claim no ownership of it. You grant us only the licence we need to host, process, and display it in order to provide the platform to you.

You are responsible for having the right to upload the information you upload, including any personal information about your customers, and for complying with the laws that apply to how you contact them. That includes obtaining any consent required for the calls, texts, and emails you configure the platform to send.

How we handle personal information is described in our Privacy Policy, which forms part of these terms.

Market data and pricing guidance

Market data, competitor pricing, comparable-vehicle analysis, and any score or recommendation the platform produces are provided for your information. They are estimates derived from public listings and third-party sources, and they can be incomplete, out of date, or wrong.

They are not an appraisal, not a valuation, and not financial advice. You are responsible for the prices you set and the deals you do. Do not treat an AXLE number as a substitute for your own judgement.

Vehicle history reports are supplied by a third-party provider. We pass on what they report; we do not independently verify it, and we are not responsible for errors or omissions in their data.

Listing syndication

When you publish a listing to a third-party marketplace through AXLE, you are also bound by that marketplace's own terms and content policies. You are responsible for the accuracy of every listing you publish, including price, condition, disclosures, and photographs.

We cannot guarantee that a marketplace will accept, keep, or continue to display a listing, and we are not responsible for their decisions, outages, or changes to their platforms.

Acceptable use

You agree not to:

• Use the platform to break the law, or to make representations to consumers that are false or misleading.
• Scrape, resell, redistribute, or sublicense our market data to anyone outside your dealership.
• Reverse engineer, decompile, or attempt to derive the source code of the platform.
• Interfere with the platform’s operation, security, or availability, or attempt to access accounts or data that are not yours.
• Upload malware, or content that infringes someone else’s rights.
• Share your account credentials with anyone outside your dealership.

Availability and support

We work to keep AXLE available and accurate, but we do not promise uninterrupted service. We may need to take the platform down for maintenance, and we may change or discontinue features. Where a change materially reduces functionality you rely on, we will give you reasonable notice.

Intellectual property

The platform, its software, design, and the AXLE name and logo are ours and remain ours. These terms give you a limited, non-exclusive, non-transferable right to use the platform while your subscription is active — nothing more.

If you send us feedback or suggestions, we may use them without obligation or payment to you.

Disclaimers

The platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be error-free, that market data will be complete or accurate, or that using it will increase your sales or margin.

Limitation of liability

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, even if advised such damages were possible.

Our total liability arising out of or relating to these terms is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law.

Indemnity

You agree to indemnify and hold AXLE harmless from claims, damages, and reasonable legal costs arising from your use of the platform, the content you publish through it, your communications with your customers, or your breach of these terms.

Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in California have exclusive jurisdiction over any dispute arising from them, and both parties consent to that jurisdiction.

Changes to these terms

We may update these terms. When we make a material change we will revise the date at the top of this page and give you notice before the change takes effect. Continuing to use the platform after that date means you accept the revised terms; if you do not, cancel before then.
